Terms of Service

1. Agreement to Terms
By accessing or using the Jenny Jenny AI platform ("Service"), operated by Realty Stars, Inc ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
These Terms apply to all visitors, users, and others who access or use the Service, including property owners (including FSBO sellers), real estate agents, loan officers, and any other subscribers or account holders (collectively, "Account Holders").
Consumers, prospective buyers or renters, and other third parties who contact a property listing via the Service are "Inquirers." Inquirers may interact with the Service in connection with a specific listing; however, only Account Holders create accounts, purchase plans, and manage listing configurations.
2. Description of Service
Jenny Jenny AI provides an artificial intelligence-powered virtual assistant ("Jenny") that helps Account Holders manage inbound calls and messages regarding property listings. The Service includes, but is not limited to:
- Automated inbound call answering and caller qualification for property listings
- SMS-based conversational AI for property inquiries
- Digital Property Cards and scheduling tools for prospective buyers
- Inquiry capture, caller intelligence, and notification alerts
- Integration with third-party services including telephony, AI, and broker data providers
From time to time, the Company may designate certain features as beta, experimental, or early access. Such features are provided "as is" without any warranties and may be modified or discontinued at any time.
3. Technology Provider Only; No Brokerage or Advice
Realty Stars, Inc. is a technology services provider. The Company is not a licensed real estate broker or agent, mortgage lender, mortgage broker, escrow company, appraisal company, or law firm, and does not provide real estate, legal, tax, or financial advice.
The Service is intended to facilitate communications and information sharing regarding listings based on information provided by Account Holders and/or authorized data sources. The Company does not (a) represent buyers, sellers, landlords, or tenants, (b) negotiate transaction terms, (c) make decisions about eligibility, financing approval, underwriting, or transaction outcomes, or (d) guarantee inquiry conversion, closing outcomes, or regulatory compliance. The Company does not receive commissions based on real estate transactions and does not participate in referral fee arrangements unless separately disclosed in writing.
The Company processes inquiry data on behalf of the applicable Account Holder as a service provider and does not independently determine the purposes for which such data is used beyond providing the Service.
4. Account Registration
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
You must be at least 18 years old and have the legal capacity to enter into these Terms.
User Representations. You represent and warrant that: (a) you have the legal right to market, advertise, and receive inquiries regarding any listing you configure in the Service (including as an owner/FSBO seller where applicable); (b) all listing content and instructions you provide are accurate to the best of your knowledge; and (c) you will use the Service in compliance with applicable real estate licensing laws, advertising rules, and broker policies.
5. Subscriptions and Billing
Certain features of the Service require a paid subscription ("Jenny Listing Pass" or other plans). By subscribing, you agree to the following:
- Subscription fees are billed on a per-listing or recurring basis as described at the time of purchase
- All fees are non-refundable unless otherwise stated or required by applicable law
- We reserve the right to change pricing with reasonable notice; continued use after a price change constitutes acceptance
- You are responsible for all applicable taxes
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable federal, state, local, or international law or regulation
- Transmit any unsolicited or unauthorized advertising, spam, or promotional materials
- Impersonate any person or entity, or misrepresent your affiliation with a person or entity
- Interfere with, disrupt, or place undue burden on the Service or connected networks
- Attempt to gain unauthorized access to any portion of the Service
- Use the Service to collect or harvest personal information of third parties without their consent
- Use any automated means (other than the Service's intended functionality) to access the Service
- Use the Service in any manner that violates the Fair Housing Act or any federal, state, or local anti-discrimination real estate laws
- Use the Service to generate, publish, or communicate discriminatory preferences or limitations regarding protected classes, or to otherwise facilitate unlawful discrimination in housing
7. AI-Generated Content
The Service uses artificial intelligence to generate voice responses, text messages, and other content on behalf of our users. You acknowledge and agree that:
- AI-generated responses may not always be perfectly accurate, complete, or appropriate
- You are responsible for reviewing and verifying any information provided by the AI assistant
- The Company is not liable for any errors, omissions, or misrepresentations in AI-generated content
- AI responses do not constitute professional real estate, legal, financial, or mortgage advice
- You bear sole responsibility for ensuring that all communications and information provided by the AI assistant comply with your state's real estate commission regulations, broker policies, and advertising guidelines
- Your use of AI-generated output is at your sole risk. You should not rely on AI-generated responses as a substitute for professional judgment or advice
- The Company does not guarantee the accuracy, completeness, or compliance of AI-generated communications, and AI output may vary based on model behavior and available data
8. Call Recording and Monitoring
Calls handled by Jenny are recorded and transcribed for the purposes of inquiry capture, quality assurance, and providing call intelligence to Account Holders. By using the Service:
- You consent to the recording and transcription of calls placed through the Service
- You agree to comply with all applicable laws regarding call recording and consent in your jurisdiction
- You are responsible for ensuring callers are informed of recording where required by law
You agree to defend, indemnify, and hold harmless the Company from any claims arising out of your failure to provide legally required call-recording disclosures or obtain required consent.
9. SMS and Text Messaging
The Service may send SMS messages to Inquirers and to Account Holders as part of its functionality. By using the Service, you consent to receive Service-related text messages at the phone number(s) you provide. Message frequency varies. Standard message and data rates may apply. For assistance, reply HELP. To opt-out, reply STOP. Carriers are not liable for delayed or undelivered messages.
TCPA / Consent. You represent and warrant that, before initiating any calls or messages through the Service to any recipient (including Inquirers), you have obtained all consents and provided all notices required under the Telephone Consumer Protection Act (TCPA), state telemarketing laws, and carrier/industry requirements (including 10DLC where applicable). You are solely responsible for the content, timing, and recipients of messages sent through the Service, including ensuring that opt-out keywords (e.g., STOP) are honored.
Opt-Out. Inquirers may opt out of SMS messages by replying STOP or other legally recognized opt-out keywords. Certain transactional or service messages may still be sent where permitted by law (for example, confirmations requested by the Inquirer).
10. Intellectual Property
The Service, including its original content, features, functionality, Digital Property Card (DPC), branding, and technology, is and will remain the exclusive property of Realty Stars, Inc and its licensors. Our trademarks and trade dress may not be used without our prior written consent.
You retain ownership of any data, listings, or content you upload to the Service. By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and display your content solely as necessary to provide the Service.
11. Third-Party Services
The Service integrates with third-party providers including, but not limited to, telephony services, AI language models, speech-to-text and text-to-speech engines, broker data services, and payment processors. We are not responsible for the practices, availability, or content of these third-party services, and your use of them may be subject to their respective terms and policies.
12. Force Majeure
The Company will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, natural disasters, labor disputes, governmental actions, telecommunications or internet failures, and outages or changes by third-party providers (including telephony, AI model, hosting, and payment providers).
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL REALTY STARS, INC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
15. Indemnification
You agree to defend, indemnify, and hold harmless Realty Stars, Inc. and its officers, directors, employees, contractors, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your listings, content, or instructions provided to the Service; (b) your use of the Service to contact or communicate with any person (including claims under TCPA, state telemarketing laws, or call recording/wiretapping laws); (c) alleged violations of the Fair Housing Act or other anti-discrimination laws arising from your use of the Service; (d) your violation of real estate licensing, advertising, or broker rules; or (e) your breach of these Terms.
16. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, limitations of liability, and the Dispute Resolution and Class Action Waiver provisions.
17. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to the new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
18. Dispute Resolution; Class Action Waiver
Informal Resolution. Before filing any formal proceeding, you agree to attempt to resolve any dispute with the Company informally by contacting us at support@jennyjenny.ai. We will attempt to resolve the dispute within thirty (30) days of receiving your notice.
Binding Arbitration. If a dispute cannot be resolved informally, you and the Company agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration shall take place in the State of Florida, remotely via video conference, or at another mutually agreed location, unless otherwise required by applicable law. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver. YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both parties agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
Exceptions. Either party may bring an individual action in small claims court for disputes within that court's jurisdiction. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
19. Assignment
The Company may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, or sale of assets. You may not assign your rights or obligations under these Terms without prior written consent from the Company.
20. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in Florida, subject to the arbitration provisions in Section 18.
